Terms of Use
Last updated: October 1, 2026
These Terms of Use ("Terms") govern your access to and use of the websites, applications, and services provided by Rowbase, Inc. ("Rowbase," "we," "us," or "our") (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have the authority to bind that organization, and "you" refers to that organization. If you do not agree to these Terms, do not access or use the Services.
1. The Services
Rowbase provides data and agent infrastructure that connects to systems a customer already operates, and makes the information in them available to authorized users. The specific services provided to a customer, the systems they connect to, and the users authorized to use them are set out in a separate written agreement or order between Rowbase and that customer.
Where a separate written agreement exists between Rowbase and a customer, that agreement governs the provision of the Services and prevails over these Terms to the extent of any conflict. These Terms govern use of our public website and any use of the Services not covered by such an agreement.
2. Eligibility and Accounts
You must be at least 16 years old and capable of forming a binding contract to use the Services. Access to the Services is granted to named individuals and is not transferable.
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us promptly at hello@rowbase.com if you become aware of any unauthorized use of your account or any other breach of security.
3. Acceptable Use
You agree not to:
- Use the Services in violation of any applicable law or regulation
- Access, or attempt to access, data you are not authorized to access, including by circumventing any permission, authentication, or access control
- Share credentials, or allow another person to use the Services under your identity
- Probe, scan, or test the vulnerability of the Services, or interfere with or disrupt their operation or the infrastructure they run on
- Reverse engineer, decompile, or attempt to derive the source code of the Services, except to the extent that restriction is prohibited by law
- Resell, sublicense, or otherwise make the Services available to any third party, except as expressly permitted in a written agreement with us
- Use the Services to build a competing product or service
4. Customer Data
As between you and Rowbase, you retain all right, title, and interest in the data you or your organization make available to the Services ("Customer Data"). You grant us a limited licence to host, process, and transmit Customer Data solely as necessary to provide the Services to you.
We do not use Customer Data to train generally available machine learning models. Our handling of personal information is described in our Privacy Policy.
You are responsible for ensuring that you have the rights necessary to make Customer Data available to the Services, and that doing so does not violate any law or any obligation you owe to a third party.
5. Intellectual Property
The Services, including all software, documentation, designs, and content we provide, and all intellectual property rights in them, are and remain the property of Rowbase and its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.
No rights are granted other than those expressly stated in these Terms.
6. Third-Party Services
The Services connect to systems and services operated by third parties at your direction. We are not responsible for those services, their availability, or their terms, and your use of them is governed by your agreement with the relevant provider. A change a third party makes to its service may affect the Services, and we do not warrant continued interoperability.
7. Fees
Fees, payment terms, and the subscription period applicable to a customer are set out in the written agreement or order between Rowbase and that customer. Unless that agreement states otherwise, fees are non-refundable and exclusive of taxes.
8. Confidentiality
Each party may receive information of the other that is marked confidential or that a reasonable person would understand to be confidential. Each party agrees to protect the other's confidential information with at least the care it uses for its own, and to use it only to perform under these Terms. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was already known to it, or is independently developed by it.
9. Disclaimers
The Services answer questions from the data available to them at the time of the request. They are a tool to support decisions, not a substitute for professional judgement, and we do not warrant that any output is complete, current, or fit for a particular purpose. You are responsible for verifying any output before relying on it for a consequential decision.
Except as expressly stated in a written agreement with us, the Services are provided "as is" and "as available," and we disclaim all warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
10. Limitation of Liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to these Terms or the Services, whether in contract, tort, or otherwise, and whether or not the party was advised of the possibility of such damages.
To the maximum extent permitted by law, each party's total aggregate liability arising out of or related to these Terms will not exceed the amounts paid or payable by the customer to Rowbase in the twelve months preceding the event giving rise to the claim.
These limitations do not apply to a party's indemnification obligations, breach of confidentiality, or liability that cannot be limited under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold harmless Rowbase and its officers, directors, employees, and agents from any claim, demand, loss, or expense, including reasonable legal fees, arising out of your use of the Services in breach of these Terms, or your violation of any law or any right of a third party.
12. Suspension and Termination
We may suspend or terminate your access to the Services if you materially breach these Terms, or if we reasonably believe that continued access presents a security risk to the Services or to another customer. Where practical, we will give notice and an opportunity to remedy the breach first.
You may stop using the Services at any time. Sections that by their nature should survive termination, including those on Customer Data, Intellectual Property, Confidentiality, Disclaimers, Limitation of Liability, and Indemnification, survive.
13. Changes to the Services and to These Terms
We may modify the Services, and we may update these Terms from time to time. If we make a material change to these Terms, we will post the updated Terms on this page and update the "Last updated" date above. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
14. General
These Terms, together with any written agreement between Rowbase and a customer, constitute the entire agreement regarding the Services and supersede all prior understandings on that subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent.
15. Governing Law and Disputes
These Terms, and any dispute arising out of or related to them or to the Services, are governed by the laws of the State of Delaware, without regard to its conflict of laws principles and excluding the United Nations Convention on Contracts for the International Sale of Goods.
The state and federal courts located in the State of Delaware have exclusive jurisdiction over any such dispute, and each party consents to the personal jurisdiction of those courts and waives any objection to venue in them.
